Stella Huang was ordered by the court to pay 1.7 million Taiwan dollars (53,000 US dollars) in damages to Awfully Chocolate.The lawsuit dates to 2006 when Huang was licensed to open Awfully Chocolate outlets in Taiwan. According to the contract, Awfully Chocolate would provide ingredients and training to Huang, and Huang should give half of her profits to Awfully Chocolate and allow it to check her accounts.However, things soured soon between the two. On August 1, 2007, Stella Huang reopened the stores under the name of “Black as Chocolate” to sell chocolates and chocolate cakes.Awfully Chocolate sued Stella Huang for violating the contact, including not paying license fees, ending the contract prematurely, leaking trade secrets and competing with Awfully Chocolate after ending cooperation with Awfully Chocolate.Awfully Chocolate sought 3.87 million Taiwan dollars (121,000 US dollars) in damages, but the court ruled that Stella Huang needs only to pay Awfully Chocolate 1.7 million Taiwan dollars because the court did not find that Stella Huang leaked business secrets and found that Awfully Chocolate also breached the contact by supplying poor-quality ingredients to Stella Huang.The case is a lesson to both franchisors wanting to expand internationally and also to franchisees who may take a short term view of the business and grab the intellectual property of the franchisors.
